Head of Governance and Compliance Search Project: Case Study
Background
Our client, a global multinational industrial conglomerate with over 21,000 employees across more than 50 countries, was undertaking a major transformation of its corporate structure. Following a strategic reorganisation, the business needed to centralise its governance and compliance functions across 94 entities in the EMEA region.
The company had historically operated with a decentralised corporate model, comprising numerous legacy companies across multiple jurisdictions. To optimise visibility, costs, efficiencies and control across the group, senior leadership initiated a shift toward a centralised corporate model, with full backing from the Group General Counsel.
Challenge
The primary challenges in this search centred around three key factors:
- The role required someone capable of managing a complex transformation project while simultaneously building and operating a new governance framework
- The successful candidate needed to work effectively across multiple jurisdictions and business cultures, coordinating with both internal stakeholders and external advisors
- The position demanded someone who could operate autonomously in a rapidly evolving environment while maintaining rigorous standards of corporate governance
The role was further complicated by the need to balance strategic oversight with hands-on execution, as the appointee would be responsible for both high-level governance architecture and day-to-day subsidiary management.
Solution
Following detailed consultation with key stakeholders, we developed a comprehensive search strategy focused on identifying candidates who combined strong technical expertise with practical experience in managing corporate transformation projects.
The search process involved:
- Mapping the market for senior governance professionals with multinational experience
- Targeting individuals who had previously managed centralisation initiatives
- Focusing on candidates comfortable working in dynamic, evolving environments
Through this targeted approach, we identified and presented a shortlist of candidates who combined the required technical skills with the cultural fit and leadership capabilities needed for success.
The successful appointee brought significant experience in corporate governance transformation, having previously led similar initiatives in other international organisations. Their appointment has enabled the client to accelerate its centralisation project while maintaining robust governance standards across its EMEA operations.
