What’s very clear is that on a transfer of undertakings, there is a very obvious need to consult your external legal counsel early since the applicability of TUPE and how it is dealt with in the transfer documentation depends on a huge variety of factors, and, as ever, the structure of warranties and indeminities will be crucial.
